Terms & Conditions

Welcome to Valoona, a product of Meraken Technologies Private Limited ("Meraken", "we", or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Valoona website, application, and services (collectively, the "Service"). By creating an account or using Valoona in any way, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By accessing or using Valoona, you acknowledge that you have read, understood, and agree to these Terms and to our collection and use of your information as described herein. These Terms constitute a legal agreement between you (an individual or the entity you represent) and Meraken. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree with these Terms, including the Privacy provisions below, you must not use Valoona.

2. About Valoona – The Service

Valoona is an AI-powered career and learning roadmap platform provided by Meraken. The Service uses artificial intelligence to help you generate personalized career paths or learning roadmaps for various topics and skills. Based on your inputs (such as career goals or areas of interest), Valoona will produce a structured learning path and recommend the best available online resources (third-party courses, articles, videos, etc.) to help you achieve those goals. Additionally, Valoona offers quizzes and skill assessments to help you test your knowledge and track your progress. The Service is designed to guide users in their career growth and learning journey by providing curated content and recommendations.

Please note: Valoona is currently in a beta version, which means the platform and its features are still under development and subject to change. We strive to ensure Valoona provides valuable and accurate guidance, but as an AI-driven tool it may occasionally produce errors or outdated information. You should use your own judgment and double-check critical advice or resources, especially where they involve third-party content or significant career decisions.

3. Beta Version Notice & Usage Limitations

Valoona is released as a beta service for early users and testers. By using the beta, you understand and agree to the following:

3.1 Beta Status: The Service is in an early stage of development. Features and functionality may not be final, and you may encounter bugs, glitches, or incomplete content. We provide the beta Service on an "as is" basis (see also Disclaimer of Warranties below).

3.2 Feature Changes: We may add, remove, or modify features as we refine Valoona. The form and nature of the Service can change without prior notice during this beta phase. We welcome feedback, but we are not obligated to make any changes you suggest.

3.3 Usage Limits: During the beta, usage is limited. For example, each user is currently allowed to create up to 4 roadmaps per day under the free beta access. This limit is in place to manage system load and ensure quality of service while we gather feedback. We may adjust usage limits (such as the number of roadmaps, quiz attempts, etc.) from time to time without advance notice.

3.4 No Fees in Beta: The beta version of Valoona is provided free of charge. You will not be charged for using the standard features of the Service during this phase (aside from any data or Internet costs from your own provider). However, be aware that we plan to introduce premium features in the future (see Section 5), which may require payment once launched.

3.5 No Guaranteed Data Preservation: As this is a testing phase, we cannot guarantee that any data you input (such as your generated roadmaps or quiz results) will be preserved indefinitely. We will try to maintain your data, but there is a risk of data loss or resets during updates. It is recommended that you keep your own copies of important information.

Using the Valoona beta indicates that you understand the above conditions. Meraken is not liable for any issues arising from the beta nature of the Service, as further detailed in the Disclaimer and Liability sections of these Terms.

4. Account Registration and Security

4.1 Registration Required: To create a roadmap, take a quiz, or otherwise fully use Valoona, you must create a user account. Non-login access is not available – an account is required to save your progress and personalize your experience. When registering, you agree to provide accurate, current, and complete information (such as your name, a valid email address, etc.) and to keep this information updated if it changes.

4.2 Eligibility: By registering an account, you affirm that you are legally capable of entering into these Terms. You should be at least 13 years old (or older if required by your local laws) to use Valoona. If you are under the age of majority where you live, you must have the consent of a parent or legal guardian to use the Service, and your parent or guardian must agree to these Terms on your behalf. We do not knowingly allow children under 13 to use the Service without parental consent, and we do not knowingly collect personal information from such young users. If we discover we have collected personal data from a child under 13 without proper consent, we will delete it.

4.3 Account Security: You are responsible for maintaining the confidentiality of your account login credentials. You must not share your password or allow others to access the Service through your account. You agree to notify us immediately at our contact email if you suspect any unauthorized use of your account or any other breach of security. Meraken will not be liable for any loss or damage arising from your failure to safeguard your credentials or from unauthorized access to your account. You are responsible for all activities that occur under your account, whether or not you know about them.

4.4 One Account per User: You should register only once and maintain a single account. Creating multiple accounts to circumvent usage limits or for any malicious intent is prohibited and may result in account termination.

4.5 Accurate Information: You agree that all information you provide to us during signup and in your account profile (and any verification processes) is truthful and yours to provide. Impersonating another person or using false information is strictly prohibited.

5. Future Premium Features and Paid Services

While Valoona is currently free to use in its beta form, we have plans to introduce additional services and premium features in the future to enhance your learning and career development experience. By using the Service now, you acknowledge and agree that:

5.1 Introduction of Premium Memberships: Meraken may offer premium membership plans in the future. These could include benefits such as higher daily roadmap creation limits (beyond the free tier’s limit of 4 per day), access to exclusive or more advanced learning roadmaps, priority access to new features, or other enhanced services. Premium membership would likely be based on a subscription or one-time payment model.

5.2 Paid Mentorship Programs: We plan to collaborate with industry professionals to offer paid mentorship sessions or programs. These mentorship services would allow users to get one-on-one guidance, career advice, or project feedback from experienced mentors for a fee. Such programs, when launched, may have their own specific terms or guidelines in addition to these general Terms.

5.3 Notification of Changes: If we introduce any paid features or change the pricing structure of Valoona, we will provide clear notice to users. This may include posting information on the Valoona site/app, sending an email to the address associated with your account, or other appropriate means. You will have the opportunity to review any new fees or terms before choosing to use the paid aspects of the Service. We will not automatically charge you for any new paid service without your explicit sign-up or consent.

5.4 Optional Participation: You are not obligated to purchase any premium membership or mentorship program. The core features of Valoona (as exist now or equivalent in the future) may remain available in a free tier with possible usage limitations. If you do not wish to use paid features, you can continue with the free version as long as it’s offered. However, certain advanced functionalities might be reserved for paying users once those options are launched.

5.5 Payments and Refunds: If you do choose to subscribe to a premium service or pay for a mentorship session in the future, you will be required to provide a valid payment method and agree to any applicable payment terms (which we will provide at that time). Those terms will include details on pricing, billing frequency, renewal, cancellation, and refunds (if any). All fees will be stated in the applicable purchasing interface when those features become available.

5.6 Changes to Premium Offerings: We reserve the right to modify, add, or remove premium offerings and their pricing. For example, we might introduce different tiers of membership or adjust what features are included in free vs. paid plans. Any such changes will not affect an ongoing paid subscription until the end of its term, and significant changes will be communicated in advance.

By continuing to use Valoona after new paid features are introduced, you agree that those features and any use of them will be subject to these Terms (and any additional terms we communicate at launch). 6. User Conduct and Acceptable Use

We strive to maintain Valoona as a helpful and safe platform for all users. By using the Service, you agree to abide by the following rules of conduct:

6.1 Lawful Purposes Only: You will use Valoona only for lawful purposes, in compliance with all applicable laws and regulations. You will not use the Service to engage in any illegal activity or to encourage others to do so.

6.2 Respectful and Appropriate Use: You will not use the Service to post, send, or distribute any content that is defamatory, harassing, obscene, offensive, or otherwise inappropriate. Although Valoona is not a social media platform, if at any point you can input text (such as asking questions, giving feedback, or participating in community features we may add), you must ensure your submissions are civil and respectful. Hateful or discriminatory language, threats, and content that violates any person’s rights are strictly prohibited.

6.3 No Harmful Code: You must not upload, transmit, or distribute any viruses, worms, malware, or any other code that could harm the Service or other users. Also, do not attempt phishing or fraudulent activities through the platform.

6.4 No Disruption: You will not attempt to interfere with or disrupt the integrity or performance of Valoona or the data contained within it. This means no attempting to hack the site, overwhelm it with traffic (no DDoS attacks), exploit vulnerabilities, or otherwise undermine the Service’s operation or security.

6.5 No Circumvention: You agree not to attempt to bypass any security measures, access controls, or usage limits (such as the roadmap creation limit) that we have placed on the Service. Using automated scripts, bots, or other means to extract data (scraping) or to use the Service beyond the permitted use is not allowed without our prior written permission.

6.6 Personal Use Only: Valoona is provided for your personal and non-commercial use to help in your learning and career planning. You must not use the platform to directly operate a competing service or for any commercial purpose without authorization. For example, you shouldn’t resell our services or outputs, or use the platform to provide a service to others as a paid service, without a separate agreement with Meraken.

6.7 User Content Rights: Do not submit or upload any content to Valoona that you do not have the right to use. This includes not providing any proprietary or confidential information of others, and not infringing on intellectual property rights (copyright, trademark, etc.) of any party when you input information or use any feature. If, for instance, you are asked to enter text (perhaps in future features), you must not copy-paste someone else’s copyrighted material without permission.

6.8 Truthful Inputs: When using features like quizzes or when providing your preferences for a career path, do so honestly and accurately to get the best results. Do not intentionally input false or misleading information in a way that could disrupt the Service’s purpose (for example, to test or “trick” the AI in ways not intended for personal learning, as that could degrade the experience for you or others).

6.9 No Abuse of Others: If Valoona introduces community features (like forums, mentor interactions, or group discussions in the future), you agree to treat others with respect. Harassment, bullying, or impersonating other users or staff is not allowed.

Meraken reserves the right to monitor usage and investigate any suspected breach of these rules. Violation of the above Acceptable Use rules may result in warnings, suspension, or immediate termination of your account at our sole discretion (see Termination in Section 13). We may also work with law enforcement if your misuse of the Service violates criminal laws.

7. User Content and Submissions

Valoona primarily generates content for you (such as roadmap plans and recommendations), but there are areas where you provide content to us, such as your inputs and interactions. This section explains how we handle content you provide:

7.1 Definition of User Content: For purposes of these Terms, "User Content" means any and all information, data, or material that you submit to the Service. This includes, for example, the answers you provide in quizzes, the preferences or goals you input when creating a roadmap, feedback you give about recommended resources, or any other content you upload or submit while using Valoona.

7.2 Ownership of Your Content: You retain ownership of any intellectual property rights that you hold in your User Content. Meraken does not claim ownership over the content, data, or information you provide to Valoona. However, by submitting User Content, you grant Meraken a license to use it as described below.

7.3 License Grant to Meraken: When you provide or upload User Content to the Service, you give Meraken a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works from, publicly display (if applicable to the function), and distribute your content solely for the purposes of operating, improving, or promoting the Service. This license enables us, for example, to process your quiz answers to give you results, to analyze common user inputs to improve our AI recommendations, or to display a custom roadmap back to you. If you provide feedback or suggestions on how to improve Valoona, you acknowledge that we may use that feedback without any obligation to you (and that feedback does not necessarily constitute confidential information).

7.4 Privacy of User Content: In general, the content you input (like your personal roadmap and quiz results) is private to your account; other users will not see your personal roadmap or quiz answers unless you choose to share them (if such sharing features exist in the future). We treat your personal data according to the Privacy terms in Section 9. We will not publicly display or share your User Content except (i) as permitted by you, (ii) as necessary to provide the Service (e.g., processing by our AI which might involve sending data to our backend servers), or (iii) as required by law or to enforce these Terms.

7.5 Prohibited Content: You shall not submit any User Content that: (a) is unlawful, defamatory, harassing, harmful, or obscene; (b) violates any third-party rights, including intellectual property rights or privacy rights; or (c) contains any personal data of others that you do not have consent to share. We are not obligated to monitor User Content, but we reserve the right to remove or delete any content that we believe violates these Terms or is otherwise objectionable.

7.6 No Liability for User Content: You understand that any User Content you submit is at your own risk. Meraken is not responsible for preserving or backing up your content (though we do our best to store things reliably – see also Section 3 about potential data resets during beta). Always keep copies of any important information you submit. Meraken takes no responsibility for the accuracy or reliability of any User Content input by you or other users.

7.7 Third-Party Content Input: If, in using Valoona, you input links or references to third-party content (for instance, maybe adding a resource you found to your roadmap), you are responsible for ensuring you have the right to use that content or link. We may remove such content if it appears to infringe rights or is inappropriate.

In summary, you own your own content, but you give us permission to use it to provide and improve Valoona. You are responsible for what you submit, and you promise it's not violating any laws or rights of others.

8. Intellectual Property Rights

8.1 Our Intellectual Property: All content and materials available on Valoona (aside from User Content as defined above), including but not limited to the software, algorithms, design, text, graphics, logos, trademarks, service marks, and other brand features, and any information or content provided by Meraken (such as the structure of generated roadmaps, the compilation of recommended resources, the quiz questions, etc.), are the property of Meraken Technologies Private Limited or its licensors. These are protected by copyright, trademark, trade secret, and other intellectual property laws. Meraken reserves all rights not expressly granted in these Terms.

8.2 License to You: Subject to your compliance with these Terms, Meraken grants you a limited, non-exclusive, non-transferable, revocable license to access and use Valoona and its content for your personal, non-commercial purposes. This license is solely so you can utilize the Service as intended – for example, to view your personalized career roadmap, follow links to learning resources for your own education, and take quizzes. You may not copy, reproduce, distribute, publicly display, or create derivative works from our platform or any part of our Service unless we have given you explicit written permission to do so (or as allowed by law, such as fair use).

8.3 Restrictions: You agree not to do (or enable others to do) the following: Remove or alter any copyright, trademark, or other proprietary rights notices from Valoona’s materials. Use any logos or trademarks of "Valoona" or "Meraken" without our prior written consent. Reverse engineer, decompile, or otherwise attempt to extract the source code of any software or AI models that are part of the Service, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Use, display, or mirror any part of the Service (including any content, text, or layout) in any form (for example, via framing or any form of duplication) without our express consent. Use any automated means (like bots, spiders, scrapers) to access or scrape data from Valoona, except as may be allowed by a public robots.txt file or with our permission.

8.4 Content from Third Parties: Some content recommended by Valoona (for instance, a course or article link that our AI suggests) may be owned by third parties. We do not claim ownership of third-party content that is linked or recommended. All such third-party materials remain the property of their respective owners, and may be subject to those third parties' terms and licenses. For example, if Valoona recommends a Coursera course, that course content is owned by Coursera or the course creators, and your use of it is governed by Coursera’s terms. Nothing in these Terms grants you rights to third-party content beyond what those content providers allow.

8.5 Feedback: If you provide suggestions, ideas, or feedback to us about Valoona (for example, suggestions to improve features or new content ideas), you agree that Meraken can use and share such feedback for any purpose without compensating you. Feedback is entirely voluntary, and we are not obligated to act on it, but we appreciate it as it can help us improve the Service.

This section in summary means: We own Valoona and its content (aside from what you or others input). We give you permission to use it for yourself, but not to steal it, republish it, or use it for competing purposes without permission. Respect our intellectual property and we’ll respect yours.

9. Privacy and Data Collection

Your privacy is important to us. Because we do not have a separate detailed Privacy Policy document at this time, we are including key privacy and data protection terms here in our Terms and Conditions. By using Valoona, you consent to the collection, use, and disclosure of your data as described in this section.

9.1 Data We Collect: In order to provide and improve the Service, Meraken collects several types of information from and about users of Valoona, including: Account Information: When you sign up, we collect personal information such as your name, email address, and any other information you provide during registration. This is used to identify you, create your account, and communicate with you. Profile and Preferences: If the Service allows or requires you to provide additional profile details (like career goals, current skill level, interests), we collect and store this information to personalize your roadmap and recommendations. Usage Data: We track and record how you interact with Valoona. This includes the roadmaps you create, the quizzes you take, your quiz answers and results, the resources you click on, features you use, and the timestamps of these activities. We also might collect technical information such as your device type, browser type, and IP address as part of our server logs and security measures. Cookies and Similar Technologies: We use cookies or similar tracking technologies (explained in more detail in Section 10) to remember your login session and preferences, and to collect analytics about usage (e.g., which pages or features are most used, where users encounter errors, etc.). Communication Data: If you correspond with us (for example, send a support email or participate in a survey), we may keep records of that communication and any personal data it contains (such as your contact information and the content of your inquiry). We generally do not collect sensitive personal data such as financial information, government ID numbers, or biometric data through Valoona, as the Service’s focus is on education and career content. Please do not volunteer any sensitive personal information on the platform unless we specifically request it for a particular feature (and if we do, we will explain why it’s needed).

9.2 How We Use Your Data: The information we collect is used for purposes that include: Providing the Service: We use your data to operate Valoona’s core functionalities. For example, your quiz answers are used to generate results and recommendations for improvement; your roadmap inputs are used by the AI to create a personalized path; your login credentials ensure you can access your saved progress. Personalization: We may use information about your past activities (like topics of roadmaps you created or skill levels from quizzes) to tailor the Service to you. This could mean recommending new topics you might be interested in, or adjusting the difficulty of quiz questions. Service Improvement: The data on how users interact with Valoona helps us improve the platform. We analyze usage patterns to identify what features are popular, what resources are effective, where users might be dropping off, or what errors occur. For instance, if many users seem to struggle with a certain quiz question, it might indicate we need to clarify that content. This analysis is often done in aggregate (across many users) so that we see trends rather than focusing on an individual’s behavior, except when investigating a specific issue or support query. Communication: We use your email (and possibly your name) to send you service-related communications. These include verification emails when you register, password reset emails, notifications about important updates or changes to Valoona, and responses to any questions or support requests you send us. We may also send you informational updates about new features, newsletters, or promotional offers if you have opted in to such communications. You will have the ability to opt out of non-essential emails (like newsletters or promotions) at any time by using the unsubscribe link provided in those emails or adjusting your account settings. (Note that you cannot opt out of essential service or legal notices.) Security and Abuse Prevention: We may use data (like IP addresses or logs of activity) to detect and prevent fraudulent or unauthorized use of the Service. This includes monitoring for account sharing, detecting bots or malicious activity, and verifying that users are complying with these Terms. Legal Compliance: If necessary, we might process your data to comply with applicable laws or legal obligations, such as responding to lawful requests by public authorities or to fulfill regulatory requirements.

9.3 How We Share Your Data: Meraken respects your privacy and does not sell your personal data to third-party marketing companies. We only share information in the following circumstances: Service Providers: We employ trusted third-party companies and individuals to facilitate our Service ("service providers"), to provide the Service on our behalf, or to assist us in analyzing how our Service is used. Examples include cloud hosting providers (where your data may be stored), analytics services that help us understand usage, or email delivery services that send out our communications. These third parties have access to your personal information only to perform these tasks on our behalf and are obligated not to disclose or use it for other purposes. Future Integrations and Partners: As Valoona grows, we may partner with other educational platforms, content providers, or companies (for example, if we integrate courses from a third-party learning platform or collaborate with a partner for mentorship programs). If and when we do so, we may share certain information with these partners to the extent needed to provide the integrated service – for instance, confirming your eligibility for an offer, or transferring relevant profile information to a partner’s system so they can serve you. We will inform you at that time and, if legally required, obtain your consent for any significant new data sharing. Any partner will be required to handle your data in a manner consistent with our commitments in these Terms and applicable law. Legal Requirements and Protection: We may disclose your information if required to do so by law or in response to valid requests by public authorities (e.g., a court or government agency). We may also disclose information if we believe in good faith that such action is necessary to (i) comply with a legal obligation, (ii) protect and defend the rights or property of Meraken (including the enforcement of our agreements and Terms), (iii) prevent or investigate possible wrongdoing in connection with the Service (such as fraud or security incidents), or (iv) protect the personal safety of users of the Service or the public. Business Transfers: If Meraken is involved in a merger, acquisition, investment, reorganization, or sale of assets, or in the unlikely event of bankruptcy, your information could be transferred to the acquiring or successor entity. We would ensure the new owner continues to uphold the privacy commitments we make here, and we would notify you (for example, via email or a notice on our site) of any such change in ownership or control of your personal data.

9.4 Data Security: We take reasonable measures to protect the security of your personal information. This includes using industry-standard security practices such as encryption of data in transit, secure server infrastructures, and regular security assessments. For example, your password is stored in hashed form (we never store plaintext passwords), and sensitive communications are typically protected via HTTPS. However, please understand that no method of transmission over the Internet or method of electronic storage is 100% secure. While we strive to protect your data, we cannot guarantee absolute security. Please do your part by using a strong password and keeping it confidential.

9.5 Data Retention: We will retain your personal data for as long as your account is active or as needed to provide you the Service. If you delete your account (or if we terminate it), we will remove or anonymize your personal information within a reasonable time after the account deletion, except as required to retain for legal obligations or legitimate business purposes. For instance, we might retain minimal information to prove compliance with laws or to resolve disputes, and backup copies of data might remain in secure storage for some period until they are cycled out.

9.6 Your Data Rights: Depending on your jurisdiction, you may have certain legal rights with respect to your personal data. For example, under the EU General Data Protection Regulation (GDPR) or similar laws, you might have the right to access the data we hold about you, correct any inaccuracies, request deletion of your data ("right to be forgotten"), restrict or object to our processing of it, and data portability. Valoona is a global service, and we aim to respect and comply with applicable data protection laws. Thus: If you wish to access or update your personal information, you can do so by logging into your account settings or by contacting us. If you wish to delete your account or personal data, you can initiate this in your account settings (if available) or request it by contacting us at our support email. We will process deletion requests subject to the limitations mentioned in 9.5 (like legal requirements to keep certain data). If you are an EU resident or in a jurisdiction with similar laws, you have the right to lodge a complaint with a supervisory authority if you believe we have violated any data protection laws regarding your information. We encourage you to contact us first so we can address your concerns.

9.7 International Users: Our servers and operations are primarily based in India, although we may use cloud providers that store data in other countries. If you are using Valoona from outside India, be aware that your information, including personal data, may be transferred to, stored, or processed in India or other jurisdictions where our service providers are located. By using the Service, you consent to such cross-border data transfers. We will handle your data in accordance with these Terms no matter where it is processed, and will take appropriate safeguards if transferring data from regions with strict data laws (for example, using EU Standard Contractual Clauses for data transferred out of the EU, if applicable).

9.8 No Separate Privacy Policy: These privacy-related clauses are integrated into our Terms and Conditions by necessity. By accepting these Terms, you are also acknowledging and accepting our data practices as described above. If any additional dedicated Privacy Policy is published by Meraken in the future, that policy will apply alongside these Terms (and in the event of a conflict, that dedicated policy would take precedence for privacy matters).

10. Cookies and Tracking Technologies

To make Valoona work smoothly and to help us understand how users engage with the platform, we use cookies and similar tracking technologies. By using the Service, you agree to our use of these technologies as outlined below:

What Are Cookies: Cookies are small text files that are placed on your device (computer, smartphone, etc.) when you visit a website. They allow the website to recognize your device and store certain information about your preferences or past actions. Similar technologies include web beacons, pixels, local storage, or SDKs in apps – all of which can be used to remember things or track usage in a similar way to cookies.

How Valoona Uses Cookies: We use cookies for a few key purposes: Essential Functions: Some cookies are essential for the Service to operate. For example, when you log in, we use cookies (or an equivalent mechanism) to maintain your session so you don’t have to re-enter your credentials on every page. These cookies enable core features like authentication and account-specific settings. Preferences: We might use cookies to remember your preferences – for instance, if you dismiss a tutorial or set your language preference, a cookie might store that so the site remembers your choice on your next visit. Analytics: We use analytics tools (which may use cookies or similar tracking) to collect information about how users use Valoona. This includes which pages or features are used most, how long users spend on certain sections, and any error messages or performance issues that occur. This information helps us improve the Service and fix problems. We typically look at this data in aggregate form, but analytics cookies might collect things like your IP address or device ID. We do not use these for identifying you personally in our analytics – it’s mainly to get overall usage statistics. No Third-Party Advertising Cookies: At this time, Valoona does not use third-party advertising cookies. We are not showing third-party ads on the platform, and we are not tracking you for advertising purposes across other sites. (Should this ever change, we will update these Terms and ask for any necessary consents, since advertising cookies often require opt-in.) The cookies in use are primarily first-party (set by Valoona itself or by our analytics service providers for our use only).

Your Choices: Most web browsers automatically accept cookies, but you can usually modify your browser setting to decline cookies or alert you when cookies are being sent. 11. Third-Party Links and Content

One of Valoona’s key features is recommending high-quality learning resources from across the internet to help you on your career path. This means that throughout the platform, you will find links to third-party websites or content (for example, an external online course, a YouTube tutorial, a blog post, etc.). It’s important to understand how such third-party content and links are handled:

11.1 Not Endorsed or Controlled by Meraken: When Valoona suggests a resource, it does so based on relevancy and educational value determined by our AI and curation process. However, that does not mean Meraken endorses or controls the content on the third-party site. We do not own or operate those external websites or services. They are independent from Meraken, and we are not responsible for their content, accuracy, or availability.

11.2 Use at Your Own Risk: Any time you click a third-party link or access external content recommended by Valoona, you are leaving our Service and going to a site not governed by these Terms. Your use of third-party websites or services is at your own risk. The third party’s terms and privacy policy will apply to your use of their content. For example, if you follow a link to an online course platform, you might need to agree to that platform’s terms or create an account there to access the material. Meraken is not a party to those agreements.

11.3 No Liability for Third-Party Content: Meraken cannot guarantee that a recommended link will always be safe or accurate, though we strive to filter out known bad sources. We are not liable for any damages or losses that may arise from your interaction with third-party content, such as if an external resource contains incorrect information that you rely on, or if the site has technical issues or malware. Always exercise caution and discretion when visiting new websites. If you encounter a third-party link through Valoona that you believe is inappropriate or harmful, please notify us so we can review it.

11.4 Third-Party Integrations: Currently, Valoona does not have any deep integrations with third-party platforms via APIs or direct partnerships (besides simple linking). In the future, as mentioned earlier, we may integrate with learning platforms or other services to enhance functionality (for example, automatically marking a course as completed). If we introduce such integrations, additional terms or consents might be required. We will make it clear to you when you are using a feature that involves a third-party service and what data might be shared in that process (see also Section 9.3 on data sharing with partners). You will have the choice to use or not use those integrated features.

11.5 External Authentication: If now or in the future Valoona allows you to log in via a third-party identity provider (e.g., Google, LinkedIn, etc.), then by using that option, you are also subject to the authentication provider’s terms. We may receive basic profile information from such a provider to set up your account (for example, your name and email if you use Google Sign-In), which will be handled per our Privacy section.

In summary, when using Valoona, you’ll often interact with content that isn’t ours. We’re like a guide pointing you to valuable information, but once you go to an external site, the relationship is between you and that third party. We encourage you to read the terms and privacy policies of any third-party sites you visit and to be mindful of the information you share with them.

12. Modifications to the Service and Terms

12.1 Changes to the Service: Meraken is continuously improving Valoona, especially given that it’s in active development. We reserve the right to modify, update, or discontinue the Service (or any part of it) at any time. This may include adding or removing features, changing the way the Service functions, releasing new versions, or even suspending the platform for maintenance. We may not always provide advance notice for minor changes or temporary suspensions (like bug fixes or security patches), but for significant changes (like introducing major new features or retiring core features), we will try to inform you in advance via the website or email. You agree that Meraken is not liable for any modification, suspension, or discontinuation of the Service. We understand that changes can impact the user experience, and we carefully consider user feedback in making changes.

12.2 Changes to Terms: We may revise these Terms from time to time, especially as our Service evolves or as laws change. If we make material changes (meaning changes that significantly affect your rights or obligations), we will notify you by reasonable means. This could include a prominent notice on our website/app, or an email to the address associated with your account. The notice will include a summary of the changes and the date they take effect. For minor changes or clarifications that do not materially affect users, we may update the Terms by posting the revised version on our site with a new "Last Updated" date, and we encourage you to check back periodically.

12.3 Acceptance of Changes: Once updated Terms are in effect, by continuing to use Valoona, you will be considered to have accepted the updates. If you do not agree to the revised Terms, you must stop using the Service and you may delete your account. We will remind you of this in any material change notice. 12.4 Contractual Commitments: If you have separately negotiated terms with us (for example, a special agreement for an enterprise client or a mentor contract), those terms will remain in effect according to their own provisions, and changes to these general Terms may not affect those separate agreements until agreed.

13. Termination of Use

13.1 By You (User Termination): You have the right to stop using Valoona at any time. You may also delete your account if you no longer wish to use the Service. This can typically be done through your account settings. If you need assistance with deletion, you can contact us. Terminating your account will generally remove your profile and personal data from the active Service, though as noted in the Privacy section, some residual data may be retained in backups or as required by law.

13.2 By Us (Termination or Suspension by Meraken): Meraken may suspend or terminate your access to Valoona (or certain features within the Service) at our discretion for any valid reason, including, but not limited to: Violations of Terms: If you breach any of these Terms or misuse the Service (for example, engaging in prohibited conduct in Section 6, or infringing on our intellectual property in Section 8), we may disable your account, with or without prior notice depending on the severity of the violation. In some cases we might send a warning or ask you to remedy the violation before taking action, but we are not obligated to do so. Legal Requirement: If we are required by law or a government authority to terminate your access (for example, if it becomes illegal to offer the Service in your region, or if a court order mandates blocking your use), we will comply. Discontinuation of Service: If we decide to discontinue Valoona entirely, we may terminate all user accounts with prior notice as described in Section 12. Inactivity: For account maintenance, if a user has been completely inactive for an extended period (e.g., 1 year), we reserve the right to deactivate or delete the account, especially during beta, to free up resources. We will typically warn you by email before deleting an inactive account, giving you a chance to log in and keep it active.

13.3 Effect of Termination: Upon termination of your use of the Service, whether by you or us: Your right to access or use the Service will immediately cease. You must stop using the platform. We may restrict your access or log you out of the Service, and you will not be able to log back in (especially if your account is permanently terminated). Any data associated with your account may be deleted from the live databases. It’s possible that some of your content (like posts or feedback) could remain on our backup servers or as part of aggregate analytics data, but it will not be readily accessible through the Service. We are not liable to you or any third-party for the termination of your access or for the deletion of your content, provided that we have acted in accordance with these Terms and applicable law. It is your responsibility to back up any content or data from Valoona that you wish to retain before terminating your account.

13.4 Surviving Provisions: Certain provisions of these Terms will survive any termination, meaning they will remain in effect even after your use of Valoona ends. The provisions that typically survive include (but are not limited to): Intellectual Property Rights (Section 8), Privacy (Section 9) (to the extent we retain your data), Third-Party Links (Section 11), Disclaimer of Warranties (Section 14), Limitation of Liability (Section 15), Indemnification (Section 16), Governing Law (Section 17), and Entire Agreement & Miscellaneous (Section 18). These sections survive to clarify both parties’ ongoing responsibilities or protections.

Termination is a last resort, but necessary to enforce the rules and maintain the platform. If your account is terminated and you believe it was a mistake, you may contact us to discuss the issue. However, Meraken’s decision in such cases will be final.

14. Disclaimer of Warranties

Valoona is designed to assist you in learning and career planning, but there are important limitations to what we promise. We provide the Service “as is” and “as available,” without warranties of any kind. This means:

No Guarantee of Accuracy or Outcomes: Meraken does not warrant that the information or results you obtain through Valoona will be 100% accurate, reliable, or current. The career roadmaps and learning resources are generated and recommended by our AI and algorithms, and while we aim for high quality, we cannot guarantee that every recommendation suits your personal needs or goals. Always use your own judgment and, when necessary, seek professional advice (for example, from a career counselor or mentor) before making major decisions based on Valoona’s suggestions.

General Advice Only: Any advice or guidance provided by Valoona (such as which skills to learn or which career path to pursue) is general in nature. It should not be construed as professional career advice tailored to your personal situation. Meraken is not an educational institution or a certified career counseling service; we provide a tool for informational and self-help purposes.

Beta Software Warnings: You acknowledge that you are using a beta version of the Service. This means there may be bugs, errors, delays, or interruptions. We do not warrant that the Service will be uninterrupted or error-free. Features may change unexpectedly, and the platform might not be as reliable as a fully mature product. You accept these risks by participating in the beta.

No Warranty on Content: Any content accessed through Valoona, whether generated by the AI or linked from third parties, is provided “as is.” We make no guarantees that: The content (text, images, courses, etc.) is free from mistakes, typos, or omissions. The content is up-to-date. (For example, technology fields evolve quickly; some recommended learning materials might become outdated over time.) The third-party links will be safe or that the third-party content will be of high quality.

Service Availability: We do not warrant that Valoona will be available at any given time, secure, or free of viruses or other harmful components. While we take security seriously (as noted in Privacy section), you should have your own antivirus and internet security precautions.

To the fullest extent permitted by applicable law, Meraken disclaims all warranties, whether express, implied, or statutory, regarding the Service and any results or content obtained through it. This includes any implied warranties of merchantability (fitness of the service for general use), fitness for a particular purpose (fitness for your specific needs), title, and non-infringement.

In jurisdictions that do not allow the exclusion of certain warranties, we will disclaim warranties to the maximum extent allowed by law. In plain language: Using Valoona is at your own risk. We hope it’s useful and we work hard to make it great, but we aren’t making blanket promises, especially not during this beta phase.

15. Limitation of Liability

15.1 Indirect Damages: To the maximum extent permitted by law, in no event will Meraken Technologies Pvt. Ltd., its directors, officers, employees, agents, partners, or suppliers, be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, damages for lost profits, lost data, loss of goodwill, business interruption, or other intangible losses arising out of or relating to your access to, use of, or inability to use Valoona, any content made available through the Service, or these Terms. This limitation applies whether the claim is based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Meraken has been informed of the possibility of such damage.

15.2 Direct Damages Cap: To the extent that liability cannot be completely disclaimed and notwithstanding anything to the contrary in these Terms, Meraken’s total cumulative liability to you for any direct damages arising out of or related to the Service or these Terms will be limited to the amount you paid Meraken for the Service in the 12 months immediately preceding the event giving rise to the claim (or, if the duration of use has been less than 12 months, such shorter period). If you have not paid any amount to Meraken (as is the case for most users in the free beta), Meraken’s total liability for all claims will not exceed Indian Rupees 0 (zero) or the minimum amount permitted by law (if a law requires a minimum). This means that if you use the Service for free, you accept that we are not liable for damages, to the extent permitted by law.

15.3 Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such cases, the limitations above may not apply to you to the extent they are prohibited. For example, certain countries may not allow a limitation of liability for personal injury caused by negligence, or for gross negligence or willful misconduct. In those jurisdictions, Meraken will remain liable to you to the minimum extent required by the applicable law.

15.4 Release: You agree that Meraken is not responsible for any third-party conduct or content on the platform. By using the Service, you release Meraken from any claims or liability related to any content provided by other users, by our AI (to the extent it may produce content), or by third-party links/resources. If you have a dispute with one or more third-party providers (such as a provider of a course we recommended), you release Meraken from any claims, demands, and damages arising out of or in any way connected with such disputes.

15.5 Basis of the Bargain: You acknowledge that Meraken has set its fees (in this case, free for beta) and made the Service available in reliance on the disclaimers of warranty and limitations of liability set forth herein, and that these provisions form an essential basis of the bargain between you and us. In simple terms, we could not offer this Service (especially not for free or at a low cost) without these limitations.

In summary, Meraken’s liability to you is extremely limited. We are not financially responsible for losses you might incur through use of Valoona, beyond possibly refunding what you paid us (which in the beta is nothing). Always be mindful that you are using this Service at your discretion.

16. Indemnification

You agree to indemnify, defend, and hold harmless Meraken Technologies Private Limited, its parent, affiliates, and their respective officers, directors, employees, and agents (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to:

Your Use of the Service: Any use or misuse of Valoona by you or anyone using your account. For example, if you use the platform in a way that harms someone or violates the law, and Meraken is sued because of it, you would be responsible for the costs.

Your Violation of These Terms: This includes any breach of the rules in these Terms (e.g., you scrape our content or upload something illegal and it causes issues).

Your Violation of Any Rights of a Third Party: For instance, if you provide User Content that infringes someone’s copyright or privacy, or if you defame someone using the Service, and a claim is brought against us because of that.

Your Violation of Any Law or Regulation: If your conduct through Valoona violates a law (for example, using Valoona in a sanctioned country or for a prohibited use, if any such scenario applies).

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim. You agree not to settle any such matter without the prior written consent of Meraken. We will use reasonable efforts to notify you of any claim, action, or proceeding brought against us that is subject to this indemnification upon becoming aware of it.

This means that if you do something that gets Meraken sued or fined, you will cover the costs. It’s a standard clause to protect service providers when users break rules or laws using the service. Please use Valoona responsibly to avoid this outcome.

17. Governing Law and Jurisdiction

17.1 Governing Law: These Terms and any dispute arising out of or relating to these Terms or the use of the Service will be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. If you are using the Service from outside India, be aware that you are still agreeing that Indian law governs your relationship with Meraken for the purposes of these Terms.

17.2 Jurisdiction: Any legal action or proceeding arising under these Terms or concerning the Service shall be brought in the courts located in Noida, Uttar Pradesh, India (or the appropriate court having jurisdiction over Noida). You and Meraken both agree to the personal and exclusive jurisdiction of these courts. In other words, if there is a dispute that leads to a court case, it will be filed and decided in a court in the region where Meraken’s registered office is located (Noida, India)

17.3 Waiver of Other Jurisdictions: You agree not to argue that any such court lacks jurisdiction, or that venue in those courts is improper. If you are accessing the Service from a location outside of India, you waive any right to challenge legal proceedings happening in India on the basis of inconvenience or different home country privileges.

17.4 Local Laws: While the Terms are governed by Indian law, you are responsible for following any laws that apply to you in your jurisdiction. If using Valoona would be unlawful in your country (for example, if our type of service is not permitted or if you are barred by sanctions), then you should not use the Service. We make no representations that the Service is appropriate or available for use in all locations.

Please note that nothing in this section prevents us from seeking injunctive relief in any appropriate jurisdiction in case of immediate harm or to protect our intellectual property (sometimes, for enforcement, companies might pursue action wherever necessary). But generally, day-to-day disputes would be handled under Indian jurisdiction as specified.

18. Miscellaneous Provisions

18.1 Entire Agreement: These Terms (including all the provisions relating to privacy and data, as well as any additional guidelines or rules that we post on the Service and incorporate by reference) constitute the entire agreement between you and Meraken regarding your use of Valoona. They supersede any prior agreements or communications (whether oral or written) between you and us relating to the subject matter of these Terms. Any additional or different terms you may propose (for example, in any communication) are hereby rejected and will not alter these Terms unless agreed in writing by an authorized representative of Meraken.

18.2 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of the Terms will remain in full force and effect. In other words, the invalid part will be cut out or narrowed, and the rest of the agreement will still apply.

18.3 No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If Meraken does not immediately act on a breach by you or others, it does not mean we are giving up our right to act in the future or on a similar breach. Any waiver of any provision of these Terms will be effective only if in writing and signed by our authorized representative.

18.4 Assignment: You may not assign or transfer these Terms (or any of your rights or obligations under them) without our prior written consent. Any attempt by you to do so without consent will be null and void. Meraken may assign or transfer these Terms or any rights/obligations under them to any third party at its sole discretion. For example, if Meraken undergoes a corporate reorganization or sells the Valoona business to another company, your agreement and account with us may be transferred to the new entity. These Terms will be binding upon and inure to the benefit of the parties and their permitted successors/assigns.

18.5 Relationship of Parties: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Meraken. You and we are independent contractors with respect to the Service. You are using Valoona as an end user; there is no fiduciary duty or special relationship between us beyond that of service provider and customer.

18.6 Force Majeure: Meraken will not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by events beyond our reasonable control. This includes, for example, acts of God, war, terrorism, natural disasters, power outages, internet or communication failures, or government restrictions. We will do our best to mitigate any impacts and keep the Service running, but some events are outside our control.

18.7 Language: These Terms are written in English. If we provide a translation in another language, it is for convenience, and the English version will govern in the event of any conflict or discrepancy.

18.8 Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect. They do not limit or describe the scope of the section.
